BH DESIGNz Terms & ConditionsEffective Date: June 8, 20261. ServicesBH DESIGNz provides website design, website development, website hosting, website maintenance plans, SEO services, branding services, graphic design services, consulting, and related digital marketing services.Specific services, deliverables, timelines, and pricing are outlined in individual proposals, invoices, service agreements, or plan descriptions.2. Client ResponsibilitiesThe Client agrees to:* Provide necessary content, images, branding materials, and account access required to complete services. * Review deliverables in a timely manner. * Ensure all supplied content complies with applicable laws and regulations. * Maintain ownership or proper licensing for all content submitted.Delays caused by missing content, approvals, or communication may affect project timelines.3. Website Design & Development ProjectsAll project timelines are estimates and may vary depending on project scope, revisions, and client response times.Unless otherwise stated:* Projects include the revisions outlined in the proposal. * Additional revisions or requested features may incur additional fees. * Final project files, access credentials, or ownership transfers may be withheld until all outstanding balances are paid in full.3A. Website Ownership, Support Eligibility & Good StandingFor clients who receive a website through a monthly website plan, website financing agreement, bundled service package, or other recurring service arrangement, ownership transfers upon successful completion of the initial website payment agreement.The initial payment agreement may consist of a 12-month, 24-month, or other approved term.Upon completion of the initial payment agreement:* Ownership of custom website files and design transfers to the Client. * All invoices and fees must be paid in full. * The Client assumes responsibility for ongoing website operation unless enrolled in an active Website Care Plan.Good StandingA website is considered in Good Standing when maintained through an active BH DESIGNz Website Care Plan.Good Standing includes:* WordPress core updates * Plugin updates * Theme updates * Security monitoring * Website backups * Performance monitoring * Compatibility management * Active hosting and domain configurationSupport EligibilityTo remain eligible for ongoing maintenance, support, monitoring, and Care Plan benefits, clients must maintain an active Website Care Plan.Clients may discontinue their Care Plan and retain website ownership; however, the website will no longer be considered in Good Standing under BH DESIGNz standards.Websites Not in Good StandingFor websites without an active Care Plan:* BH DESIGNz assumes no responsibility for performance, security, uptime, backups, software compatibility, or malware infections. * Future support requests may be billed at current hourly rates. * Enrollment in a current Care Plan may be required before support resumes. * Re-onboarding, cleanup, remediation, repair, or restoration fees may apply.3B. Third-Party Licenses & Subscription ServicesCertain websites may include premium software, plugins, themes, licenses, monitoring tools, backup systems, security services, hosting resources, or other subscription-based products.These products are licensed to BH DESIGNz and provided as part of an active service agreement.Upon cancellation or termination of a service plan:* Website ownership remains with the Client. * BH DESIGNz-provided premium licenses and subscription services may be removed or discontinued. * Certain website features may cease functioning if dependent upon active licenses. * The Client assumes responsibility for obtaining replacement licenses or services.BH DESIGNz shall not be liable for interruptions resulting from the expiration or removal of third-party licenses.4. Website HostingHosting services are provided on a best-effort basis.While BH DESIGNz strives for maximum uptime, uninterrupted service cannot be guaranteed.BH DESIGNz is not liable for downtime caused by third-party providers, internet outages, cyberattacks, natural disasters, utility failures, government actions, or other events beyond our reasonable control.5. Care Plans & Maintenance ServicesCare Plans may include:* WordPress updates * Theme updates * Plugin updates * Security monitoring * Backups * Performance monitoring * Malware scanning * Technical support * Content updates * ReportingIncluded services vary by plan.Unused support time does not roll over unless specifically stated.6. SEO & Marketing ServicesSEO services are provided on a best-effort basis.BH DESIGNz does not guarantee:* Search rankings * Traffic increases * Lead generation * Revenue growth * Search engine placement7. Payment TermsPayment is due according to the schedule outlined in the applicable invoice, proposal, or service agreement.Failure to pay may result in:* Service suspension * Hosting suspension * Website access restrictions * Additional reinstatement fees8. Subscription Services & CancellationClients may cancel recurring services at any time.Monthly Plans* Service remains active through the current billing period. * The subscription will not renew. * No prorated refunds will be issued.Annual Plans* Service remains active through the paid annual term. * The subscription will not renew. * No prorated refunds will be issued.Cancellation requests must be submitted in writing.9. Refund PolicyNo RefundsAll payments made to BH DESIGNz are non-refundable.This includes:* Website design * Development services * Hosting services * Care Plans * SEO services * Branding services * Marketing services * Consulting services * Subscription servicesClients may cancel recurring subscriptions at any time, but refunds will not be issued for completed, partially completed, unused, or cancelled services.10. Intellectual PropertyUpon full payment:* Clients retain ownership of content they provide. * Clients receive ownership rights to completed custom website deliverables.BH DESIGNz may display completed work within portfolios and marketing materials.11. Third-Party ServicesBH DESIGNz may utilize third-party providers including hosting companies, registrars, payment processors, email services, plugins, and marketing platforms.BH DESIGNz is not responsible for interruptions, policy changes, pricing changes, or failures caused by third-party providers.12. Limitation of LiabilityBH DESIGNz shall not be liable for:* Lost profits * Lost revenue * Business interruption * Data loss * Indirect damages * Consequential damages * Incidental damagesLiability shall not exceed the amount paid for the service giving rise to the claim.13. TerminationBH DESIGNz may suspend or terminate services for:* Non-payment * Abuse * Illegal activity * Violation of these TermsOutstanding balances remain due.14. Changes to TermsBH DESIGNz reserves the right to modify these Terms at any time.Continued use of services constitutes acceptance of revised Terms.15. Contact InformationBH DESIGNzIncluded Licenses & Maintenance ServicesYour Website Care Plan may include premium plugin licenses, security services, monitoring tools, backup systems, performance optimization tools, and other subscription-based resources.These services remain active only while your plan remains active and in good standing.Cancellation of your Care Plan may result in:* Expiration of premium licenses * Removal of monitoring services * Discontinuation of backup services * Loss of security monitoring * Loss of support eligibilityWebsite Ownership & LicensingOwnership of the custom website design and website files transfers to the Client upon successful completion of the initial website payment agreement and payment of all outstanding balances.Premium plugins, themes, software licenses, monitoring tools, security services, backup systems, hosting services, and subscription-based resources provided by BH DESIGNz remain licensed services and are not transferred to the Client.Cancellation of maintenance, hosting, or service plans may result in the removal, expiration, or discontinuation of included premium services and licenses.To remain eligible for BH DESIGNz support, maintenance, monitoring, and Good Standing status, clients must maintain an active Website Care Plan following completion of the initial website payment agreement.Required Checkout AcknowledgementI understand that ownership of my website transfers upon completion of my initial website payment agreement. I also understand that premium licenses, hosting resources, monitoring tools, backups, security services, and maintenance benefits included with my plan remain active only while my service plan remains active and in good standing.
